Overview and Acceptance of These Terms
These Terms of Service (“Terms”) govern your access to and use of Medaica’s website, online store, Home Heart Exam Kits, medical devices, software, applications, reports, and related products and services, collectively, the “Services.”
The Services are provided by Medaica, Inc. (“Medaica,” “we,” “us,” or “our”).
The Medaica Home Heart Exam Kit is an at-home medical examination product that includes a physical Medaica M1 digital stethoscope, access to a guided heart-sound recording process, review of the collected recordings, and a resulting heart report, as described on the applicable product page.
By visiting our website, creating an account, placing an order, purchasing or using a Home Heart Exam Kit or other Medaica product, completing an examination, or otherwise accessing or using the Services, you agree to be bound by:
- These Terms;
- Our Privacy Policy;
- Our Return and Refund Policy;
- Our Shipping Policy; and
- Any additional terms or notices presented in connection with a particular product or Service.
These policies are incorporated into these Terms by reference.
If you do not agree to these Terms, you must not access or use the Services or purchase our products.
Our online store is hosted by Shopify Inc., which provides the e-commerce platform through which we offer our products.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use the Services.
By accessing or using the Services, you represent that:
- You are at least 18 years old;
- You are legally capable of accepting these Terms;
- The information you provide is accurate and complete; and
- You will use the Services only in accordance with these Terms and applicable law.
The Services are currently intended for customers located in jurisdictions where Medaica makes them available.
We may limit product or Service availability based on location, clinical availability, shipping restrictions, legal requirements, regulatory requirements, or other reasonable operational considerations.
2. Medaica Products and Services
Medaica offers the Medaica Home Heart Exam Kit, an at-home medical examination product designed to enable the collection and professional review of heart-sound recordings.
Unless otherwise stated on the applicable product page, the Home Heart Exam Kit includes:
- A physical Medaica M1 digital stethoscope;
- Access to the Medaica examination platform;
- One guided remote heart examination;
- Collection and transmission of heart-sound recordings;
- Review of the recordings using Medaica’s clinical and technology-supported review process; and
- A resulting heart report.
The guided examination, recording review, and report are integral components of the Home Heart Exam Kit. They enable the physical device to be used for the at-home examination process described on the applicable product page.
Medaica may also sell devices, accessories, replacement products, additional examinations, or other products separately.
Your purchase includes only the products, examinations, reports, and other components expressly identified:
- On the applicable product page;
- In your cart;
- During checkout; and
- In your order confirmation.
You should review the complete product description before placing an order.
3. Technology-Assisted Review
Medaica may use algorithmic or artificial intelligence-assisted tools to support:
- Recording quality assessment;
- Workflow management;
- Identification and measurement of acoustic features;
- Analysis and validation;
- Consistency of review; and
- Preparation of information for professional review.
These tools do not independently issue a medical diagnosis and do not replace the judgment of a qualified healthcare professional.
Where professional review is included in the product purchased, recordings and related information are reviewed by qualified healthcare professionals who exercise their own professional judgment.
4. No Emergency Use
The Services are not intended for emergency use.
If you believe you may be experiencing a medical emergency, call 911 or your local emergency services immediately.
Do not use the Medaica Home Heart Exam Kit, wait for a Medaica examination, or wait for a Medaica report before seeking emergency medical care.
Possible warning signs requiring immediate medical attention may include severe chest pain, significant difficulty breathing, fainting, sudden weakness, confusion, or other severe or rapidly worsening symptoms.
Medaica does not provide emergency monitoring or emergency-response services.
5. Medical Limitations
The Medaica Home Heart Exam Kit is intended to support the collection and review of heart-sound information within the scope described in the applicable product labeling and product description.
The Services:
- Do not assess every possible heart condition or health condition;
- Do not guarantee that any particular condition will be detected;
- Do not guarantee that a recording will be sufficient for review;
- Do not guarantee any particular health or medical outcome;
- Are not a substitute for emergency medical care;
- Are not a substitute for an in-person examination when one is appropriate; and
- Should not be used as the sole basis for starting, stopping, or changing medication or treatment.
A Medaica report should be considered together with your symptoms, medical history, physical examination, and any other testing recommended by your physician or other qualified healthcare professional.
You should discuss questions about your report, symptoms, diagnosis, medication, or treatment with your physician or another qualified healthcare professional.
Never disregard or delay seeking professional medical advice because of information obtained through the Services.
6. Product and Regulatory Information
Medaica's M1 Digital Stethoscope is FDA-cleared for Over the Counter (OTC) use.
Any regulatory status, clearance, intended use, indication, limitation, performance characteristic, or product capability is limited to what is specifically stated in:
- The applicable product labeling;
- Instructions for use;
- Official Medaica product information; and
- Applicable regulatory authorization.
Statements on the website do not expand the intended use of a product beyond its authorized labeling.
You agree to use Medaica products:
- In accordance with the supplied instructions;
- Only for their stated intended use;
- With compatible equipment and systems;
- In a safe and lawful manner; and
- In accordance with instructions provided during the guided examination.
7. Orders and Order Acceptance
Submitting an order constitutes an offer to purchase the products and Services identified in the order.
An automated order confirmation acknowledges that we received your order. It does not necessarily constitute final acceptance of the order.
We may accept, reject, limit, or cancel an order where reasonably necessary, including in cases involving:
- Product unavailability;
- Incorrect pricing or product information;
- Technical errors;
- Suspected fraud or unauthorized payment;
- Duplicate orders;
- Unusually large order quantities;
- Orders apparently placed for unauthorized resale;
- Delivery restrictions;
- Legal or regulatory restrictions; or
- Inability to provide an included examination or review in the customer’s location.
If we cancel an order after payment has been collected, we will refund the applicable amount to the original payment method.
We may limit quantities purchased per person, household, account, payment method, billing address, or shipping address.
Medaica products may not be purchased for commercial resale, redistribution, or unauthorized clinical use without our prior written authorization.
8. Product Information and Availability
We make reasonable efforts to present product descriptions, photographs, included components, compatibility information, availability, prices, and other details accurately.
However, typographical errors, omissions, technical errors, or inaccuracies may occasionally occur.
We reserve the right to:
- Correct errors or omissions;
- Update product information;
- Change or discontinue products prospectively;
- Limit quantities; or
- Cancel an affected order where product or pricing information was materially incorrect.
If a material error affects an order already submitted, we may contact you to ask whether you wish to proceed under the corrected terms.
If you do not wish to proceed, or if we cannot contact you within a reasonable period, we may cancel the affected order and provide an applicable refund.
Product availability is not guaranteed until an order has been accepted and fulfilled.
9. Prices, Taxes, and Payment
Prices are displayed in U.S. dollars unless otherwise stated.
The product page and checkout will identify the price charged for the Home Heart Exam Kit or other product.
Applicable taxes, shipping charges, and other charges will be displayed during checkout before you submit the order.
Prices and promotions are subject to change. The final price, including applicable taxes and shipping charges, will be clearly displayed during checkout before you finalize your purchase.
A price change will not ordinarily affect an order that we have already accepted, except where an obvious pricing, promotional, or technical error has occurred.
You agree to provide current, complete, and accurate:
- Billing information;
- Payment information;
- Shipping information;
- Contact information; and
- Account information.
By submitting payment information, you represent that:
- You are authorized to use the payment method;
- The information provided is accurate; and
- You authorize Medaica and its payment processors to charge the total amount displayed during checkout.
Payments may be processed by Shopify Payments or another third-party payment provider. Payment processing may also be subject to that provider’s terms and privacy practices.
10. Shipping and Delivery
Shipping methods, eligibility, charges, processing times, and estimated delivery times are described in our Shipping Policy and during checkout.
Delivery dates and transit times are estimates unless expressly stated otherwise.
Medaica is not responsible for delays caused by circumstances outside our reasonable control, including:
- Carrier delays;
- Weather conditions;
- Natural disasters;
- Labor disputes;
- Customs or border processing;
- Transportation disruptions;
- Incorrect or incomplete delivery information; or
- Other events outside our reasonable control.
You are responsible for providing a complete and accurate shipping address.
Contact us promptly if your order:
- Does not arrive;
- Arrives damaged;
- Contains an incorrect product;
- Is missing an item; or
- Shows as delivered but cannot be located.

11. Returns and Refunds
Returns and refunds are governed by our Return and Refund Policy, which is incorporated into these Terms.
The Return and Refund Policy explains:
- The period in which a return may be requested;
- The condition in which the product must be returned;
- Requirements for original packaging and included components;
- Return-shipping responsibility;
- Treatment of opened personal-use medical devices;
- If applicable, a medical-device handling and sanitary-disposal deduction of $50;
- Refund processing;
- Defective, damaged, missing, or incorrect products; and
- Treatment of an examination or report that has been scheduled, started, completed, or submitted for review.
Customers should review the Return and Refund Policy before placing an order.
Original shipping charges are not refundable except where required by law or expressly stated in the Return and Refund Policy.
Nothing in these Terms limits any non-waivable consumer right or remedy available under applicable law.
12. Using the Home Heart Exam Kit
The guided examination and recording-review process are components of the Medaica Home Heart Exam Kit.
To complete the examination, you are responsible for:
- Scheduling and attending the guided examination as instructed;
- Providing accurate and complete information;
- Completing any required consent forms or questionnaires;
- Having the Medaica M1 available;
- Having compatible equipment available;
- Connecting the device as instructed;
- Following the examination and device-positioning instructions;
- Maintaining a suitable internet connection; and
- Participating from a reasonably quiet, private, and safe location.
A delayed, interrupted, incomplete, or poor-quality recording may need to be repeated.
Technical, environmental, physiological, or recording-quality limitations may prevent completion or review of an examination.
A healthcare professional conducting or reviewing the examination may stop, postpone, or decline to complete the examination if:
- Recording quality is inadequate;
- The device is not functioning correctly;
- Required information or consent has not been provided;
- Instructions cannot be followed adequately;
- The examination cannot be completed safely or appropriately;
- The patient appears to require emergency or in-person medical care; or
- Continued use would be inconsistent with applicable professional, legal, regulatory, or clinical requirements.
Cancellation, rescheduling, missed-appointment, and refund rules applicable to the Home Heart Exam Kit are described in our Return and Refund Policy or scheduling information presented to you.
13. Reports
A report is based on the recordings and information available at the time of review.
The quality, completeness, and usefulness of a report may be affected by:
- Recording quality;
- Device placement;
- Background noise;
- Movement;
- Internet or transmission issues;
- Incomplete information;
- Physiological variation; or
- Other technical or clinical limitations.
A report reflects the scope of the examination performed and does not constitute a comprehensive assessment of all possible cardiac or medical conditions.
You should provide the report to your physician or other qualified healthcare professional where follow-up is recommended or where you have symptoms or concerns.
The estimated report-delivery period stated on the website is an estimate and may be affected by recording quality, requests for repeat recordings, clinician availability, holidays, technical issues, or other reasonable circumstances.
14. User Accounts and Security
Certain Services may require:
- A user account;
- A secure access link;
- A verification code;
- Identity verification; or
- Another authentication method.
You are responsible for:
- Maintaining the confidentiality of account credentials and access links;
- Protecting devices through which you access the Services;
- Providing accurate and updated account information;
- Restricting unauthorized access to your account; and
- Promptly notifying us of suspected unauthorized access.
You may not share credentials in a manner that permits unauthorized access to personal or health information.
We may require additional verification before:
- Providing access to sensitive information;
- Releasing a report;
- Changing account information;
- Processing certain requests; or
- Taking other security-sensitive actions.
15. Privacy and Personal Information
Our collection, use, processing, retention, disclosure, and protection of personal information are described in our Privacy Policy.
By using the Services, you authorize Medaica and its service providers to collect, transmit, process, store, and use information as reasonably necessary to:
- Process and fulfill orders;
- Deliver products;
- Schedule and conduct examinations;
- Collect and review recordings;
- Prepare and deliver reports;
- Provide customer service;
- Process payments and refunds;
- Maintain safety, quality, and security;
- Comply with legal and regulatory obligations; and
- Perform other activities described in our Privacy Policy.
You retain any rights provided to you under applicable law in relation to your personal information.
Medaica may use data that has been properly de-identified or aggregated in accordance with applicable law for:
- Research;
- Analytics;
- Quality improvement;
- Product improvement;
- Development and validation; and
- Other legitimate business purposes.
You may not submit another person’s personal or health information unless you are legally authorized to do so and have obtained any required consent.
16. Acceptable Use
You agree not to:
- Use the Services for an unlawful, fraudulent, abusive, or harmful purpose;
- Provide materially false or misleading information;
- Misrepresent your identity;
- Access another person’s account or information without authorization;
- Interfere with the security, operation, availability, or integrity of the Services;
- Introduce viruses, malware, harmful code, or automated attacks;
- Circumvent security features or access controls;
- Scrape, crawl, extract, or systematically collect information without authorization;
- Reverse engineer, decompile, disassemble, or attempt to derive source code, except where such restrictions are prohibited by law;
- Copy, reproduce, sell, sublicense, redistribute, or commercially exploit the Services without written authorization;
- Use Medaica products in a manner inconsistent with their instructions or intended use;
- Use the Services to provide unauthorized medical services;
- Alter, falsify, or misrepresent a Medaica report;
- Make false or misleading statements about Medaica products or reports;
- Purchase products for unauthorized resale; or
- Infringe the intellectual-property, privacy, or other rights of Medaica or another person.
17. User Submissions, Reviews, and Feedback
You remain responsible for information, reviews, comments, photographs, recordings, and other material you submit to Medaica.
You represent that:
- You have the necessary rights and permissions to provide the material;
- The material is accurate to the best of your knowledge;
- The material does not violate applicable law;
- The material does not infringe another person’s rights; and
- The material does not improperly disclose another person’s private information.
If you voluntarily submit product ideas, suggestions, or general feedback that does not contain personal health information, you grant Medaica a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use that feedback for legitimate product-development and business purposes.
This feedback license does not alter our obligations regarding personal or health information.
We may decline to publish, moderate, or remove public reviews or submissions that are:
- Unlawful;
- Fraudulent;
- False or misleading;
- Defamatory;
- Abusive or threatening;
- Infringing;
- Unrelated to the product;
- Promotional or spam;
- Contain private or health information; or
- Otherwise violate these Terms.
18. Intellectual Property
The Services and all associated intellectual property are owned by or licensed to Medaica.
This includes:
- Software and source code;
- Algorithms and analytical methods;
- Device designs;
- Product designs;
- Workflows and examination methods;
- Reports and report formats;
- Graphics, text, photographs, and videos;
- Website content;
- Trademarks, logos, names, and trade dress;
- Patents and patent applications;
- Documentation and instructions;
- Databases and compilations; and
- Other proprietary materials.
Subject to these Terms, Medaica grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Services for their intended personal purpose.
No ownership interest is transferred to you.
You may not use Medaica’s trademarks, copyrighted materials, reports, designs, or other intellectual property for a commercial purpose without prior written authorization.
You may retain and share your own report with your healthcare professionals for your personal healthcare purposes.
19. Third-Party Services
The Services may rely on or link to third-party:
- Payment processors;
- Video or telehealth platforms;
- Scheduling systems;
- Communications providers;
- Shipping carriers;
- Software platforms;
- Healthcare professionals;
- Laboratories or analytical providers, where applicable; and
- Other service providers.
Third-party services may be governed by their own terms and privacy practices.
Medaica does not control third-party websites or independent services and is not responsible for their content, availability, security, or conduct, except to the extent required by applicable law or an applicable agreement.
The inclusion of a third-party link does not necessarily constitute an endorsement.
20. Suspension and Termination
You may stop using the Services at any time.
You may request closure of your account by contacting support@medaica.com, subject to any information or records Medaica must retain for:
- Legal compliance;
- Regulatory compliance;
- Clinical recordkeeping;
- Safety;
- Fraud prevention;
- Payment processing; or
- Other legitimate business purposes.
Medaica may restrict, suspend, or terminate access to some or all of the Services when reasonably necessary because of:
- A material or repeated violation of these Terms;
- Fraudulent, abusive, dangerous, or unlawful activity;
- Unauthorized account access;
- A security risk;
- Nonpayment;
- A reversed or disputed payment;
- Misuse of a product or Service;
- Conduct that threatens Medaica, a healthcare professional, another user, or a third party;
- A legal, regulatory, or governmental requirement;
- Discontinuation of a Service; or
- Circumstances that make continued access unsafe, impractical, or unlawful.
Where reasonably practicable, we may provide notice and an opportunity to address the issue before termination.
We may act immediately where necessary to protect:
- Patient safety;
- Security;
- Privacy;
- Legal or regulatory compliance;
- Healthcare professionals;
- Other users; or
- The integrity of the Services.
Following suspension or termination:
- Your right to access the affected Services ends;
- You must stop using restricted software, content, or account features;
- Outstanding payment obligations remain due;
- Completed purchases remain subject to applicable return, warranty, and consumer-protection terms;
- Medaica may retain information as required or permitted by law; and
- Provisions that by their nature should survive will remain effective.
Sections concerning payments, privacy and record retention, intellectual property, disclaimers, liability, indemnification, disputes, and accrued rights survive termination.
21. Service Changes and Availability
We may update, improve, modify, suspend, or discontinue features of the Services.
We do not guarantee that every feature will remain permanently available or operate without interruption.
Temporary interruptions may occur because of:
- Maintenance;
- Software updates;
- Security updates;
- Network conditions;
- Third-party systems;
- Equipment failure;
- Regulatory requirements; or
- Circumstances outside our reasonable control.
Where a material change prevents us from providing a paid product component that has not yet been delivered, we will provide an appropriate remedy as required by the applicable purchase terms and law.
22. Limited Product Warranty
Any express limited warranty applicable to a Medaica product will be stated:
- On the applicable product page;
- In documentation supplied with the product; or
- In a separate limited-warranty policy.
The limited warranty, where provided, applies according to its stated terms.
Unless expressly covered by a limited warranty, warranty coverage does not ordinarily include damage caused by:
- Accident;
- Misuse;
- Neglect;
- Improper storage;
- Unauthorized modification;
- Use with incompatible equipment;
- Failure to follow instructions;
- Ordinary wear and tear; or
- External causes outside Medaica’s control.
Nothing in this section limits any warranty right that cannot legally be excluded.
23. Disclaimer of Warranties
EXCEPT FOR AN EXPRESS WARRANTY PROVIDED BY MEDAICA AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
MEDAICA DISCLAIMS IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- TITLE;
- NON-INFRINGEMENT;
- ACCURACY; AND
- AVAILABILITY.
MEDAICA DOES NOT WARRANT THAT:
- THE SERVICES WILL ALWAYS BE UNINTERRUPTED OR ERROR-FREE;
- EVERY RECORDING WILL BE OF SUFFICIENT QUALITY;
- EVERY EXAMINATION CAN BE COMPLETED;
- EVERY HEALTH CONDITION WILL BE IDENTIFIED;
- A REPORT WILL PRODUCE A PARTICULAR MEDICAL OR HEALTH OUTCOME;
- THE DEVICE WILL BE COMPATIBLE WITH EQUIPMENT NOT IDENTIFIED AS COMPATIBLE; OR
- THE SERVICES WILL MEET EVERY USER’S PARTICULAR NEEDS OR EXPECTATIONS.
SOME STATES DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS OR LIMITATIONS. SOME OF THESE PROVISIONS MAY THEREFORE NOT APPLY TO YOU.
NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDAICA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING:
- LOST PROFITS;
- LOST REVENUE;
- LOSS OF DATA;
- LOSS OF BUSINESS;
- LOSS OF OPPORTUNITY; OR
- SIMILAR ECONOMIC LOSSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDAICA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, A PRODUCT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- The amount you paid to Medaica for the product or Service giving rise to the claim during the 12 months preceding the event giving rise to liability; or
- US $100.
These limitations apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose.
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded, including liability where applicable for:
- Fraud;
- Willful misconduct;
- Gross negligence;
- Death or personal injury caused by conduct for which limitation is prohibited; or
- Violation of a non-waivable consumer right.
25. Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Medaica and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, and reasonable costs arising from:
- Your unlawful or unauthorized use of the Services;
- Your material violation of these Terms;
- Your infringement of another person’s rights;
- Information or content you submit without the necessary authorization; or
- Your unauthorized resale, redistribution, modification, or commercial use of a Medaica product or Service.
This section does not require you to indemnify Medaica for Medaica’s own negligence, unlawful conduct, or other conduct for which indemnification cannot legally be required.
26. Dispute Resolution
Before initiating formal legal proceedings, you and Medaica agree to make a reasonable, good-faith effort to resolve the dispute informally.
A written notice of dispute should include:
- Your name;
- Your contact information;
- Your order number, where applicable;
- A description of the dispute; and
- The resolution you are requesting.

Any arbitration agreement, class-action waiver, venue provision, or other formal dispute-resolution procedure will apply only if contained in a separate legally enforceable agreement accepted by both parties.
27. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.
This provision does not deprive a consumer of any mandatory protection available under the laws of the jurisdiction in which the consumer resides.
28. Changes to These Terms
We may revise these Terms from time to time to reflect changes in:
- Our products;
- Our Services;
- Our business practices;
- Technology;
- Legal or regulatory requirements; or
- Operational needs.
The current version will be posted on this page with an updated “Last Updated” date.
For material changes, we will provide reasonable notice before the changes take effect, such as by:
- Posting a prominent notice on our website;
- Posting a notice within the Services;
- Sending an email to the address associated with your account; or
- Providing another appropriate form of direct notice.
Changes will apply prospectively unless otherwise required by law.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.
If you do not agree to revised Terms, you must stop using the Services.
Changes to these Terms will not retroactively alter the material terms of a completed purchase unless permitted by law and expressly agreed.
29. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted or severed where necessary.
The remaining provisions will remain in full force and effect.
30. No Waiver
Medaica’s failure to exercise or enforce a provision of these Terms does not waive its right to enforce that provision or another provision later.
A waiver is effective only if made in writing by an authorized representative of Medaica.
31. Assignment
You may not assign or transfer these Terms or your rights under them without Medaica’s prior written consent.
Medaica may assign or transfer these Terms in connection with:
- A merger;
- An acquisition;
- A financing;
- A corporate reorganization;
- A sale of assets; or
- A transfer of the relevant business.
Any assignment remains subject to applicable law.
32. Entire Agreement
